Overview

Sampa Kang’ombe is a corporate and commercial lawyer with over 5 years’ experience advising in banking and finance, mergers and acquisitions, corporate reorganisations, restructuring, and equity capital markets, as well as assisting multinationals in mining and infrastructure (which includes carbon) projects. He has acted for local and international clients in a variety of industries including banking, mining, fintech, private equity, capital markets, mining and agriculture.

 

Sampa has advised numerous clients on large complex banking and finance transactions which include: All aspects of corporate, structured and syndicated lending transactions, debt capital market transactions, bank and financial institutions restructures and export credit agency supported financings.

 

In the Aviation sector, Sampa has advised lessors, and airlines across a wide spectrum of aviation finance deals including secured loan financing and operating leasing.

 

Sampa has extensive experience in leading and managing large scale due diligence investigations and transactions from initial deal scooping, conduction of legal due diligence investigation and reporting, drafting, negotiating and setting definitive agreements, which include sale and purchase agreements and business transfer agreements.

 

Sampa has worked with numerous large companies such as Eastern and  Southern African Trade Development Bank (commonly referred to as the PTA Bank), Norfund, Glencore, Impala Platinum Holdings Limited, which include Nederlandse Financierings- Maatschappij door Ontwikkelingslanden N.V. (FMO), Zambia Consolidated Copper Mines Plc, ABSA, Standard Bank and others on all aspects of their business.

Experience

  • MTN Global Connect Zambia Limited (an MTN subsidiary that owns fiber network in Zambia), as lead in relation to their establishment and operationalization. 
  • Numerous Lenders, acted as Zambian legal advisor in relation to restructuring various loans advanced to the Government of the Republic of Zambia.
  • Continental Oil Company Limited, in relation to the disposal of its entire oil marketing business located across Zambia to TotalEnergies.
  • Confidential Client, On providing preliminary regulatory advice to one of France’s biggest investment firms in order to understand the geo – political landscape and risk in the investment of one of Zambia’s largest electricity distributors.
  • Eastern and Southern African Trade & Development Bank (popularly known as TDB), in relation to a USD50 million facility which is secured by Zambian issued bonds and treasury bills to Zambia National Commercial Bank Plc (ZANACO) to finance a facility that was provided to Neria Investments Limited in relation to Farmer Input Support Program (FISP).
  • Conducting a due diligence on the Industrial Development Corporation Limited (the Zambian sovereign wealth fund) for Eastern and Southern African Trade & Development Bank (popularly known as TDB) in relation of its onboarding exercise.
  • Stanbic Bank Zambia Limited and ABSA Bank Zambia Limited, in drafting numerous security documents to both private and commercial clients for sums exceeding USD50 million.
  • Norfund, in relation to USD 5 million convertible loan agreement to Seba Foods Zambia Limited which include the negotiating, drafting and negotiating various security documents to secure numerous monetary and promissory obligations.
  • Avmax, in relation to its lease of Bombardier CRJ-200LR – 7391 to Proflight Zambia which included issuing an enforceability opinion.
  • Industrial Development Corporation Limited (the Zambian sovereign wealth fund), in relation to re – establishment of Zambia Airways and in relation to its first plane (a Dash 8-400) from the Ethiopian Airline Group.
