Overview

Mumbi has extensive experience in mining, renewable on and off-grid energy, infrastructure/real estate and PPP projects. His practice also includes intellectual property and M&A. Mumbi also has considerable experience in capital markets and fintech.

Mumbi advises on all aspects of project development, implementation and restructuring. He is solution oriented and has demonstratable experience drafting commercial agreements and project documents as well as navigating sector specific legal frameworks to ensure regulatory compliance.

He has advised on Zambia’s major energy projects and has been involved in notable M&A transactions in the mining sector. Mumbi holds an LLB from the University of Zambia and an LLM in Commerci al Law from the University of Capetown in South Africa. He is a qualified advocate of the Superior Courts of Zambia with 6 years post-admission experience.

  • ZCCM-IH, in the restructuring of its equity stake in Kansanshi Mine Plc by the conversion of the ordinary dividend rights associated with its equity interest into a mine royalty interest.
  • Trident Royalties, in relation to a mineral royalty financing in a coper asset.
  • Confidential Client, on the disposal of shares in one of Africa’s deepest single-shaft underground mine asset to ZCCM-IH.
  • An AIM London listed mining company, on the successful appeal for restoration of a cancelled mining license of a Zambian subsidiary.
  • Deutsche Gesellschaft für Internationale Zusammenarbeit GmbH (GIZ), Consultant through Integration Environment & Energy GmbH on the regulatory framework for renewable energy generation and battery energy storage solutions.
  • Lusanje Power Limited, on the development of a 25MW joint venture solar power project with the Lusaka South Multi Facility Economic Zone.
  • Kafue Gorge Hydro Electric Power Project, on the legal due diligence and transaction documents for the development, operation and maintenance of the Project.
  • International Finance Corporation (IFC), on the development of two large scale solar projects under the Scaling Solar Project.
  • Neoen-First Solar Consortium, a developer of one of the projects under the IFC Scaling Solar Project on the implementation of the project.
  • Confidential Client, a carbon markets and emissions reduction focused company headquartered in Geneva with global presence on the development of a carbon project in Zambia.
  • A leading MNO, on the commercial separation and streamlining of its fintech business and the regulatory approvals required.
  • Doctors Associates Inc., on its registration and protection of the SUBWAYTM trademark in Zambia
  • BetPawa, an online sports betting company on the use of third-party celebrity images for social media advertisements.
  • Confidential Client, successfully represented a manufacturing company in a claim for infringement of its registered design.
