Overview

Mofu is a corporate and commercial lawyer with experience in drafting, reviewing and negotiating transactional documents. He supports our international and local clients on a wide range of matters including commercial litigation, regulatory compliance, conveyancing, banking and finance, mining and general corporate advisory work. He has gained considerable experience in M&A transactions and has advised on M&A work in various sectors. He has undertaken due diligences and reviewed project documents for both target companies and acquiring companies. 

A marked career achievement is his work on AMLA, a World Bank initiative. The project had many aspects including legislation gathering, organisation, dissemination and capacity building. The goal of the project was to support African countries in maximising mineral resource benefits by promoting transparency and accessibility to Africa’s mining laws. One of the outcomes of the project is the AMLA platform, a one-stop online resource covering over 53 existing mining codes.

Achievements

  • World Bank African Mining Legislation Atlas: Selected as one of three University of Zambia Law School students to represent the school in training on mining legislation across Africa, held in Accra, Ghana.

Experience

  • Global Impact and Open Ownership,  on a legislative and policy mapping of the laws that provide for or are relevant to Beneficial Ownership (“BO”), with a primary focus on the Companies Act, identified the key existing legislative and policy frameworks that guide BO transparency implementation, disclosure and data use in Zambia and preparation of the report.
  • M-KOPA Holdings  Limited, on the legal requirements to set up a digital financial services company in Zambia, with particular focus on the regulation of fintech and digital financial services, data protection and the tax implications of the client’s innovative business model that uses technology to manage credit risk.
  • Mount Sunzu Coffee Limited, on the tax implications around importation of irrigation systems.
  • First Capital Bank Limited, regularly advises the client on all aspects of its banking business and operations in Zambia, with a particular focus on its lending transactions which involves drafting of facility and loan agreements, mortgages and perfection of securities.
  • Ekaya Estates, on the disposal of several land assets.
  • Confidential Client, on the potential acquisition of an interest in a copper mining project in Zambia.
  • Confidential Client, on the development of a medical diagnostic centre, and more particularly conducted a due diligence covering the legal and regulatory framework for the establishment of the project and advised on the project’s commercial structure.
  • Confidential Client in Botswana, on an equity and debt investment in a multi-national manufacturing company which comprises various entities across Southern Africa.
