Overview

Brenda is a Corporate and Finance Lawyer with over 19 years experience advising clients in the Financial Services, Mining, telecommunications, Aviation and Agribusiness sectors. She has advised local and international businesses on both contentious and non-contentious matters. Brenda is one of Zambia’s top business lawyers. She has been ranked by IFLR1000 as a Highly Regarded Lawyer and a Woman Leader, and was in 2020 named by the Institute of African Women in Law as á Woman to Watch’.

 

Her practice focuses on M&A, project finance, corporate finance, infrastructure, capital markets and commercial dispute resolution.

 

She has worked with clients like African Development Bank, Atlas Mara Zambia, First Capital Bank, Zambia Industrial Commercial Bank, Multichoice Africa, Turkish Airlines, Qatar Navigation QPSC, Lusaka Securities Exchange, Amiran Zambia Limited, Global Impact and open Ownership, Technoserve and ATS Agro-Chemicals Limited.

 

Brenda is a member of the Membership and Rules Committee of the Lusaka Securities Exchange Board and Chairperson of Altus Financial Services Limited Board.

 

Brenda is a qualified Zambian Advocate. She has an LLB from the University of Zambia and LLM in Banking and Finance from the University of London.

  • Global Impact and Open Ownership,  on a legislative and policy mapping of the laws that provide for or are relevant to Beneficial Ownership (“BO”), with a primary focus on the Companies Act, identified the key existing legislative and policy frameworks that guide BO transparency implementation, disclosure and data use in Zambia and preparation of the report.
  • Western Seed Limited, on resolving a dispute with the Biosafety Agency under the Ministry of Green Economy and Environment relating to allegation of growing genetically modified seed.
  • Confidential Client, on internal reorganisation of global security company, with a Zambian presence.
  • Absa Bank Ltd and The Standard Bank of South Africa Limited, on a senior facility agreement and embedded guarantee for a ZAR1.8 billion (approximately USD 107 million) credit facility on behalf of Absa bank Limited and Standard Bank of South Africa Limited
  • Turkish Airlines, on the incorporation of Turkish Airlines in Zambia as a branch of a foreign company and applications for various aviation licences
  • Lusaka Securities Exchange, on the development and operationalisation of the Commodities Exchange
  • Bert Motors, on a PPP for the dualisation and tolling of the Chingola-Solwezi Road and Solwezi-Mutanda Road (approximately 205 km)
  • A Chinese company, in a due diligence exercise in respect to one of Zambia’s biggest mining companies
  • AfDB (a multilateral development finance institution headquartered in Abidjan Ivory Coast), conducted a legal due diligence exercise for a proposed debt for equity swap arrangement
  • Qatar Navigation QPSC, in a due diligence exercise for the acquisition of J & J Transport Limited
  • U-Fuel, (an American petroleum company) on downstream oil sector set-up.
